
This is a question that the ISM takes very seriously. The Institute grants a Membership only to persons of the highest integrity in management positions who are actively engaged within the Security Industry.
Levels of Membership
Student and Associate (AISecM). For Students and persons who are studying for higher security qualifications, and for people working in related professions and who are looking to join the Security Profession, or for managers employed within the Security Industry who do not fully meet the criteria for Member category.
Member (MISecM). Any person who has relevant practical experience and/or academic qualification, and is employed in a managerial position within the Security Profession. This is not limited to managers of staff/personnel, but also includes HM Revenue and Customs Officers, serving Police officers and Members of the Armed Forces
Corporate Member (MISecM) Membership is open to bodies corporate who are, at the time of application for membership, actively engaged within the Security Industry. The body corporate shall designate one representative, employed in a management capacity, as a Member of the Institute in order to represent that body. The corporate membership designation may be displayed on documentation relating to that body corporate.
Fellow (FISecM). Bestowed on Members of the ISM in recognition of considerable and continuous contribution to the Institute and/or the Security Profession. Members of the ISM can apply for a Fellowship by submitting a thesis.

you are showing employers (current and prospective) and others within the Security
Industry that you have a professional outlook towards your chosen career.
· The ISM is represented on the board of the SSIAB and JSIC and has successfully lobbied for it's Member's interests both through these contacts and directly through it's own efforts.
· The recently launched Web Site will grow in content and will also be used as an avenue for the members to contact the ISM and each other.
· There are Regional Sections of the Institute which allow meetings and contact between members, prospective members and colleagues from the Industry.

Administration Fee and the relevant Subscription sum must accompany the application

Constitution
ARTICLE 1 TITLE
1.1 The name of the Institute shall be:
1.2 It shall be a non-profit making body
1.3 The Institute's address shall be that of the Secretary unless it be determined otherwise by the Governing Council.
2.1 The aims and objectives of the Institute shall be as follows:
a) To enhance the standing of the Security Profession.
b) To promote the status of the individual Manager and body corporate.
c) To define and recognise the qualifications of the individual Manager.
2.2 Membership will be open to all persons who are actively employed within the Security Industry and who are, at the time of application for membership, employed in a management capacity.
2.3 Membership will be open to bodies corporate who are, at the time of application for membership, actively engaged within the Security Industry.
2.4 A body corporate shall designate one representative as a member of the Institute in order to represent that body. Membership will also be open to other persons who are actively employed within the body corporate and who are, at the time of application for membership, employed in a management capacity.
2.5 The rights and privileges of every Member and body corporate shall be personal to the Member and body corporate and will not be transferable. Members and bodies corporate must comply with the Rules of the Institute.
3.1 The Institute shall be administered by a COUNCIL comprising of elected members which will include the offices of CHAIRMAN, SECRETARY, ASSISTANT SECRETARY and TREASURER plus 5 other Council Members, a total of 9.
3.2 The Council shall meet as often as the business of the Institute may require and act not withstanding any vacancy in their body. The Council must meet at least 4 times per year and at any duly notified meeting of the Council four members shall constitute a quorum. Each member shall have one vote and the Chairman of the meeting, who must be an Officer of the Institute, shall have a casting vote. Minutes will be kept and confirmed.
3.3 The Council of the Institute shall have the power to appoint Sub-Committees chosen from their own body, and where special circumstances prevail or make it advisable such Sub-Committees may include co-opted Members.
3.4 The Council shall determine the democratic procedures for the nomination of persons for election as Officers or Members of the Council. Each member of the Institute can vote for every person nominated and seconded and who consents to hold office.
3.5 Notwithstanding the procedures as laid down in Article 3.4, a Member of the Institute, duly elected in accordance with Article 5, may be seconded to the Governing Council by order of the Chairman of the Institute following unanimous acceptance at any duly notified meeting of the Council.
3.6 Such secondment would anticipate the formal election of that Member of the Institute to the Governing Council.
3.7 The secondment of a Member of the Institute, as defined above, to the Governing Council will not detract from the due process of formal election of that Member to the Governing Council in accordance with Article 3.4. Such election must take place at the next Annual General Meeting following the secondment of that Member to the Governing Council.
3.8 A Member of the Institute seconded to the Governing Council will, at all times, conduct himself in such a manner as to comply with the Aims and Objectives of the Institute as defined in Article 2.
3.9 Each member of the Governing Council shall be accountable in respect of his own acts only, and shall not be accountable for any acts done or authorised to which he shall not have expressly assented. No member of the Council shall incur any personal liability in respect of any loss or damage incurred through any act, authorised or not, being done in good faith for the benefit of the Institute, although in excess of his/her legal power.
3.10 a) The Members of the Council may be re-imbursed out of funds of the Institute for all reasonable costs, charges and expenses, which they shall incur by reason of their respectively accepting office, in the execution of their duties imposed upon them under this Constitution.
b) Members of the Council may be indemnified by appropriate insurance cover carried by the Institute.
3.11 The full Council shall hold the power to add to, alter or vary any of the rules of the Institute, provided that such additions, alterations or variations shall be placed before the Members, following a circulation to all Members requiring a vote on the issue, and then being placed before an Annual General Meeting for approval or otherwise.
3.12 The Institute will elect a Secretary who shall be responsible for maintaining a register of the names and addresses of each Member of the Institute.
3.13 Any notice or communication sent by the Secretary for the Council, shall be deemed to have been served providing such service or sending is proved by the Secretary showing the communication or notice was properly addressed and posted.
ARTICLE 4 ELECTION PROCESS
4.1 The Officers of the Institute and members of the Council shall be elected and appointed to office in accordance with the rules. Nominations for election must be submitted to the Secretary, properly seconded, at least 14 days prior to an Annual General Meeting.
4.2 The Officers of the Institute and members of the Council will hold office from the date of their election for a period of 12 months or until the date of the next Annual General Meeting, at which time they will be eligible for re-election by way of a simple majority vote if they wish to continue serving on the Council.
ARTICLE 5 MEMBERSHIP
5.1 The Governing Council will appoint a Membership Sub-Committee which will include the Secretary and at least 2 other persons who will make recommendations to the Governing Council as to the applicants suitability for membership. In the event of the Council deciding to refuse admission, or re-admission in any particular case, they will do so without assigning any reason thereto.
5.2 The Membership Sub-Committee shall consider applications for Fellowship of the Institute having regard to the conditions laid down, and recommend to a full Council Meeting their adoption or otherwise. A simple majority of the Council shall be required. The Member so elected shall be entitled to use the designation FISecM or Hon.FISecM as appropriate.
5.3 Any member may retire from the Institute by sending his/her resignation to the Secretary in writing.
5.3 ` The Governing Council may re-admit to Membership any person or body corporate whose Membership has been terminated from any cause, providing he or the body corporate satisfies the Council that he or the body corporate is worthy of re-admission and pays such amounts in respect of arrears of subscription as the Council may determine.
5.5 Where any Member or body corporate shall be convicted of a criminal offence the Council may decide to terminate his/her/the body corporate Membership and the Secretary shall communicate such a decision to the Member or body corporate in writing forthwith. The Council also reserves the right to withdraw Membership in circumstances whereby a Member or body corporate has failed to comply with the Constitution and Rules, or has brought discredit upon himself or the body corporate.
Every Member or body corporate is required at all times to uphold the established traditions of the Institute and the dignity of the Security Profession.
ARTICLE 6 HONORARY MEMBERS
6.1 Honorary members shall be persons whose work and achievements on behalf of the Institute and their profession shall be deemed to be of outstanding value, and honorary members may continue Full Membership of the Institute after retiring from active employment, providing they continue to retain and exercise an active interest in the Institute's endeavours. Honorary Members shall be entitled to all the privileges of the Membership except voting rights and they will not be required to pay any Membership fees. Honorary membership must be confirmed by a full meeting of the Governing Council.
ARTICLE 7 FINANCE
7.1 The Council shall appoint a Finance Sub-Committee comprising of the Chairman, Treasurer and at least two other Council Members. The Institute will hold Bank Accounts in its own name.
7.2 The Council will arrange for a Registration Fee to be collected at the time of a new member being accepted for Membership.
7.3 The administrative year for the Institute shall commence on 1st January each year. Membership fees shall be due on 1st January each year and must be paid by 31st March. Provision is made to the effect that in the case of any Member accepted in the last three months of the administrative year his subscription shall cover both the remainder of his election and the next succeeding year.
7.4 The approved Membership Renewal letter with the Membership Renewal form will be sent from the Honorary Secretary’s office during the December immediately prior to the renewal date in order that Article 7.3 may be complied with by the members.
7.5 Members who have failed to respond to Article 7.4 will receive an approved Membership Renewal reminder letter with a Membership Renewal form sent from the Honorary Secretary’s office during the last week of February of the membership year for which Membership fees have not been received.
7.6 If a Members fee is not forthcoming by 31st March, as at Article 7.3, then the Member whose fees remains unpaid after that date will be reminded of the fact, in writing, by the Honorary Secretary.
7.7 At the Annual General Meeting held in May of the administrative year, the Honorary Secretary will notify the Council, at the commencement of that meeting, of any member of the Institute, whose Membership fees remain unpaid at that time and who will attempt to exercise their `rights and privileges`, as at Article 2.3, in respect of any business determined by the Agenda of that Annual General Meeting.
7.8 The Honorary Secretary will warn the member whose fees remain unpaid, as at Article 7.7, that, in view of their non-compliance with the Rules of the Institute, they are excluded from exercising their `rights and privileges` as a Member of the Institute at that Annual General Meeting. If the Member resolves the matter to the satisfaction of the Council immediately at the commencement of the Annual General Meeting, then that Member’s `rights and privileges` will be restored and may be properly exercised.
7.9 In the event of the Member’s outstanding fees remaining unpaid at the conclusion of the Annual General Meeting, the matter will be referred to the next meeting of the Council and at that meeting the Member may, by a resolution passed by the Council, be excluded from the Institute. The Member will be notified in writing of such resolution by the Honorary Secretary.
ARTICLE 8 ANNUAL GENERAL MEETING
8.1 The Annual General Meeting shall be convened not earlier that 1st May nor later than 31st May in any year. Not less than 28 days notice of the date, time and place of the meeting shall be given to each Member, together with notice of the business of the Meeting which will be as follows:
i) To receive a report from the Governing Council.
ii) To receive a report from the Institute Secretary.
iii) To receive a report from the Institute Treasurer.
iv) The receipt and adoption of the examined accounts of the Institute and appointment of Account Examiners for the forthcoming year.
v) Election of Council Officers and Members.
vi) The consideration of any resolution submitted in accordance with the Rules of the Institute.
vii) The consideration of any other business that the Meeting considers to be a proper subject for discussion, recognising that due notice has not been given.
8.2 Resolutions for consideration at any General or Annual General Meeting shall be notified in writing to reach the Secretary not later than 14 days before the date of the meeting and carry the signature of the person proposing and seconding them. A General Meeting may be requested by not less than 50% of Members provided that the application is in writing, signed by the members and the objects and business of the meeting are clearly expressed. The Meeting's proceedings will be restricted to those matters. Should the Council fail to respond to such a request within 28 days then such a Meeting may be convened by the Members requesting it.
ARTICLE 9 TERMINATION
9.1 If the Council, following a vote by all Members of the Institute, decided at any time that it is necessary or advisable to terminate the existence of the Institute, this being following a General Meeting with a two-thirds majority vote, the Council shall have the power to dispose of the assets held by or on behalf of the Institute. Any assets remaining after the satisfaction of proper debts and liabilities shall be transferred to a Charitable Institution(s) as nominated by the Membership at that meeting.
ARTICLE 10 GENERAL
10.1 The Council shall have the power to register the Institute with H.M. Government Charity Commissioners.
10.2 The Institute will have no trade union or political connections or aspirations but at National Level the Institute will provide a voice in the corridors of power representing the interests of its Members and championing the Security Managers cause with Government Departments.
10.3 The Membership may organise themselves on a Regional basis, for social and educational purposes only, strictly in accordance with the following criteria:
(a) The approval of the Council will be required.
(b) All funds generated must be paid to the central fund through the Institute Treasurer.
(c) A Co-Ordinator will be elected by the members of the Region and report to the Chairman of the Institute.

Council
The Governing Council is made up of a group of members who are voted into office by the membership and give their time free to run and organise the ISM. The Governing Council are always looking for members to join them or make an active contribution to the running of the ISM.
